General Terms for Services
These General Terms and Conditions (“Terms”) apply to all customers who make a purchase or engage with the services (“Services”) provided by Inteliprint (“we”, “our”, “us”) through our website https://inteliprint.com.au (“Website”).
These Terms govern your use of our Services, including but not limited to, printing, design, and consulting Services, as well as your interactions on our Website.
We may modify and update these Terms at any time without prior notice. It is your responsibility to review these Terms regularly to stay informed of any changes. By making a purchase, engaging with our Services, or continuing to use our Website, you agree to be bound by these Terms, our Privacy Policy, and any other policies or conditions posted on our Website.
If you do not agree to these Terms, you must refrain from making any purchases, using our Services or using our Website. Continued use of our Website and Services constitutes your acknowledgment and acceptance of these Terms.
DEFINITIONS
"ACL" refers to the Australian Consumer Law, which is contained in Schedule 2 of the Competition and Consumer Act 2010 (Cth). The ACL provides consumers with certain rights, guarantees, and remedies regarding the supply of goods and services that cannot be excluded, restricted, or modified by any agreement or terms and conditions.
“Fees” refers to the applicable fees for our Services. The Fees are listed on our Website or in your Quotation when you place your order and may be updated from time to time.
“Quotation” refers to a detailed document provided by Inteliprint that outlines the specific Services to be provided, the estimated Fees, and the expected timeline based on the customer’s requirements. A Quotation is valid for 14 days from the date it is issued and serves as the basis for the customer’s order when accepted.
“Services” refers to all the work and tasks Inteliprint provides, including printing, design, consulting, and any related activities you select when placing an order.
“Website” means https://inteliprint.com.au.
“We”, “our” “us” and Inteliprint means Makaira Trading Pty Ltd ABN as trustee for Seafever Investments Trust trading as Inteliprint ABN 61 313 931 685 and includes all directors, employees, contractors and affiliates.
“You” or “customer” means the user or customer who is using our Website and Services.
WHAT WE OFFER
At Inteliprint, we offer a comprehensive range of Services tailored to meet your printing and design needs. Our Services include digital printing of various products, professional design assistance, artwork preparation and modification, and consulting on the suitability of materials and designs. We also provide project management to ensure timely delivery and can source garments, uniforms, and other materials as required.
Quotations
We may provide you with a Quotation before commencing any Services.
All Quotations provided by Inteliprint outline the scope of Services, estimated Fees, and timelines based on the information you provide. Quotations are valid for 14 days from the date of issuance, after which the terms may be subject to change. By accepting a Quotation and placing an order with us, you agree to the Services and Fees detailed within, and these will be governed by our Terms.
Please ensure that all details in the Quotation accurately reflect your requirements, as any changes to the scope of work after acceptance may result in additional Fees and adjustments to the timeline.
AGREEMENT TO PURCHASE SERVICES
By placing an order with Inteliprint, you agree to purchase the selected Services from Inteliprint as detailed in the accepted Quotation or as chosen directly on our Website, subject to these Terms.
Your order constitutes a binding commitment to proceed with the Services as outlined in the Quotation or order confirmation.
All Services provided are governed by these Terms, and by completing your purchase, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
FEES
By placing an order with Inteliprint, you agree to pay the applicable Fees for the selected Services, as stated in the accepted Quotation or on our Website at the time of your order.
The Fees are based on the specific Services you choose and are subject to change if not locked in by a valid Quotation that is accepted and confirmed in the timeframe provided.
Fees may be updated from time to time, so please review the current Fees before placing your order. You will be charged based on the Fees published or agreed upon at the time your order is placed.
Quotes provided on our Website are generated automatically and rely on the accuracy of the information you provide. Please ensure that all details entered are correct, as any discrepancies may affect the final cost of the Services. You are responsible for any inaccurate quotes resulting from errors in the information that you provide. The Quotes generated through our Website are valid for 14 days and are subject to our confirmation.
PAYMENT TERMS
Full payment for Services is required before any work begins unless alternative arrangements have been made and approved in writing by Inteliprint. Payment must be made through the methods specified on our Website, in our Quotation, or otherwise communicated to the customer at the time of order placement.
For customers with approved credit arrangements, payment is due within the agreed-upon terms outlined in the credit agreement. If payment is not received by the due date, Inteliprint reserves the right to suspend Services, withhold deliverables, or charge late fees.
Ownership of any goods or deliverables provided by Inteliprint remains with Inteliprint until full payment has been received. Inteliprint is not responsible for any delays caused by payment issues, and any such delays may result in adjustments to the delivery timeline.
FEE UPDATES
Fees for Services may change from time to time. However, once your order is accepted, the Fees for that project will not change unless there are modifications to the design, materials, quantity, or other aspects of the project.
Quotes provided are valid for 14 days from the date of issuance. If you do not confirm the order within this period, the Fees may be subject to adjustment based on the current rates at the time of order confirmation.
WE HAVE THE RIGHT TO REFUSE YOUR PROJECT
Inteliprint reserves the right to refuse any project or work request at its sole discretion. This includes, but is not limited to, projects that Inteliprint deems to be illegal, immoral, or unethical.
Inteliprint is not obligated to accept work that involves content that may be considered offensive, inappropriate, or in violation of legal or ethical standards, even if such content is not universally recognised as such.
If a project is refused, Inteliprint will notify the customer as soon as possible and, if applicable, refund any payments received for that project.
YOUR WARRANTIES AND ACKNOWLEDGEMENTS
You agree to the following:
• You warrant that you have the full legal capacity and authority to agree to these Terms on behalf of yourself and (if applicable) your organisation;
• You warrant that all information you provide is true, correct, up-to-date and accurate;
• You warrant that you will not transfer, sublicense or grant access to any of our Services to any other person, company, business or other organisation except as agreed in these Terms; and
• You acknowledge and agree that it is your responsibility to keep your contact and payment details up to date. If we do not receive prompt payment in accordance with these Terms, we have the right to suspend or cancel your order.
PROJECT TURNAROUND AND DELIVERY TIMES
For all projects, Inteliprint operates with a cut-off time of 10:00 AM (local time). To meet the stated turnaround times, both payment and approved proof must be received by this cut-off time. Turnaround times are expressed in business days and exclude public holidays.
Inteliprint will endeavor to dispatch your order within the estimated turnaround times provided at the time that you place your order. Delivery times are subject to the availability of materials and any other factors beyond our control, including but not limited to courier delays. Inteliprint is not responsible for delays caused by couriers or any third parties involved in the delivery process.
Inteliprint’s estimated delivery times refer to the turnaround time for dispatch, not the time required for courier delivery. The dispatch time is the period between receiving payment and proof approval and the completion of the project ready for shipment.
In cases where delays occur due to factors such as stock shortages, equipment failures, or other issues within Inteliprint’s control, we will notify you promptly and work with you to agree on a new delivery date.
Please note that delays may also arise from circumstances beyond our control, including but not limited to, supplier issues, outages, or courier delays. While we strive to meet our estimated turnaround times, these external factors may impact the final delivery date and Inteliprint cannot guarantee delivery times once goods have been dispatched to the courier.
RESPONDING TO OUR REQUESTS FOR INFORMATION
Timely responses from you are of the essence in the completion of jobs and projects. Delays in providing necessary approvals, feedback, or responses may result in extended turnaround times and potential delays in the delivery of your order. Inteliprint is not responsible for any delays caused by late or incomplete responses.
ORDER PICKUP
You will be notified upon the completion of your project. Completed projects will be held for 15 business days. If no arrangements for pickup or further contact are made within this period, the project will be disposed of. Inteliprint is not responsible for any loss, destruction, or other issues arising from the disposal of unclaimed projects.
INSPECTION
Upon receiving your order, you are responsible for inspecting the order for any defects, damage, or discrepancies.
Any issues should be reported to Inteliprint within 7 days of receipt of the order. Failure to inspect the products within this timeframe may limit your ability to seek remedies under these Terms or the Australian Consumer Law (‘ACL’) except where your Statutory Rights apply.
FLYERS, FOLDED ITEMS AND OTHER SPECIAL ITEMS
If your order includes flyers, folded items, or other specialised products, Inteliprint will take all necessary steps to package these items securely for delivery. However, some items may be delivered flat or partially assembled to ensure they fit within courier packaging and arrive undamaged.
OWNERSHIP OF GOODS, RISK OF LOSS AND COURIER RESPONSIBILITY
Ownership of any goods or deliverables produced by Inteliprint will transfer to the customer only upon full payment of all associated Fees. Until payment is received in full, Inteliprint retains ownership of the goods.
Once your order has been dispatched, the risk of loss or damage passes to you, and it is your responsibility to coordinate with the courier for delivery.
In the event of loss or damage during delivery, you should immediately contact both Inteliprint and the courier service to report the issue. Inteliprint will assist in coordinating with the courier to resolve the problem, but responsibility for recovery or compensation may ultimately rest with the courier.
Inteliprint is not responsible for any issues arising during the delivery process once the goods have been dispatched to the courier. However, in the event of non-receipt or late receipt of goods, Inteliprint will assist in following up with the courier to help resolve any delivery problems. You are also expected to take appropriate steps to coordinate with the courier regarding the delivery status.
SUITABILITY OF FABRICS AND OTHER PRODUCTS
It is your responsibility to ensure that any fabrics, materials, or other items you provide are suitable for the intended use. Inteliprint is not responsible for assessing the appropriateness of these materials.
If requested, Inteliprint can source supplies such as t-shirts, uniforms, and garments; however, you remain responsible for confirming that these items meet your specific needs and requirements. Any risks associated with using these materials are assumed by you.
If Inteliprint is sourcing garments, materials, or supplies on your behalf, we will do our best to meet your specifications, but availability may vary. Inteliprint will provide samples where applicable; however, variations in colour, texture, and quality may occur between samples and final products. By approving the samples, you acknowledge and accept these potential variations.
GARMENT PRINTING
All garments you supply will be checked by Inteliprint prior to printing. However, Inteliprint cannot guarantee the suitability of these garments for printing. If you supply the garments, any risks associated with printing on these materials are your responsibility.
Garment decoration is a manual process, and as such, exact repeatability of decoration positioning cannot be guaranteed. Slight variations in placement may occur. The process involves the use of a heat press to apply the image onto the garment, which may result in minor imperfections. Inteliprint does not guarantee flawless application, and these slight imperfections are to be expected. By placing an order with us, you accept these imperfections.
COLOUR MATCHING
Unless otherwise specified, all products are printed digitally using a full-colour CMYK process. Exact colour matching is not guaranteed, and variations in colour may occur depending on the material being printed.
PRINTING FINISH
As all finishing is a mechanical process, our standard tolerances are +/- 2mm. For brochures 250gsm or heavier, the printing may be scored at the fold lines and delivered flat, not folded. Some items may not be able to be sent folded due to their size or packaging constraints and may need to be delivered flat, scored, so you can fold them as needed.
YOUR FILES
Any files that you provide to Inteliprint will be stored for up to 2 years. If there is no contact, purchase, or prearranged transfer within this period, your files will be destroyed.
Inteliprint is not responsible for any loss or damage to your files at any time, including after their destruction. It is your responsibility to maintain copies of all files you provide to Inteliprint.
SOCIAL MEDIA SHARING
Inteliprint reserves the right to share images of completed projects on social media and use them for promotional purposes.
If you do not wish for your products to be shared or used in this manner, you must notify Inteliprint in writing before the project is completed. Otherwise, by proceeding with the order, you grant Inteliprint the right to use images of your project for promotional purposes without further notice or compensation.
INTELLECTUAL PROPERTY
All intellectual property rights, including but not limited to designs, artwork, logos, and any other materials created or provided by Inteliprint in connection with the Services, remain the exclusive property of Inteliprint until full payment of all relevant Fees has been received.
Upon receipt of full payment, ownership of the intellectual property specifically created for your project will be transferred to you. However, any pre-existing intellectual property owned by Inteliprint that is incorporated into the project deliverables will remain the property of Inteliprint. In such cases, Inteliprint grants you an exclusive, non-transferable, royalty-free license to use the pre-existing intellectual property solely for the purpose and scope of the project as agreed.
This licence does not allow for the distribution, replication, or use of the pre-existing intellectual property beyond the agreed-upon project without Inteliprint’s express written permission.
ARTWORK AND OTHER MATERIALS PROVIDED BY YOU
If you want us to use any externally supplied graphics or fonts, then you must provide us with at least 2 examples of your desired graphic or font.
By providing artwork, logos, fonts, images, designs, or any other materials ("Customer Materials") to Inteliprint, you warrant that you have the necessary rights, licenses, and permissions, to use, reproduce and distribute those materials.
You also warrant that the use of such materials by Inteliprint in the execution of the Services will not infringe upon any third-party rights, including but not limited to copyright, trademark, or other intellectual property rights.
You agree to indemnify and hold harmless Inteliprint from any claims, damages, liabilities, and expenses (including legal fees) arising from any breach of the above warranties or any third-party claims related to the use of the Customer Materials.
Please note that any Customer Materials provided by you may not be suitable for commercial use, depending on the nature of their origin or the rights associated with them.
Inteliprint does not review or confirm the accuracy, quality, or suitability of any Customer Materials provided by you. You are solely responsible for ensuring that the materials meet all necessary specifications and are free of errors. Inteliprint is not liable for any mistakes, inaccuracies, or issues that arise from the use of Customer Materials you have supplied.
All artwork must be supplied in accordance with our current Artwork Guidelines which may be viewed on our Website.
If any work is required to ensure that the Customer Materials are usable for production, additional charges will apply. Any changes to the materials after submission will be billed at a rate of $120AUD per hour, calculated in 15-minute increments.
It is your responsibility to ensure that all Customer Materials supplied are appropriate for their intended use and comply with all applicable laws and regulations.
YOUR EXCLUSIVE DESIGNS
Inteliprint will not use any designs, logos, or other intellectual property provided by you for any other customer or project without your express permission.
ARTWORK TEMPLATES SUPPLIED BY US
All artwork templates provided by Inteliprint are supplied for your convenience on an “as is” basis, without any form of warranty or guarantee. You are responsible for ensuring that any artwork or design created using these templates meets the necessary specifications for the project. Inteliprint is not liable for any issues that arise from the use of these templates.
These templates are available on our Website using Canva, or other graphic design software available from time to time, which allow you to create your own designs.
OUR WEBSITE
All images and information on our Website are provided for example purposes only and should not be relied upon as accurate representations of the final products or Services. Inteliprint is not responsible for any errors or omissions on the Website, and you should verify all details before making any purchasing decisions.
We reserve the right at any time and from time to time to remove, delete, alter or amend any content on the Website.
We make no warranty that the Website will meet your requirements or be available on an uninterrupted, secure or error-free basis. We will use our best endeavors to ensure the Website is always available and virus free but from time-to-time, and in some instances, this may not be the case as it may be out of our immediate control.
You agree and acknowledge that the Website and our Services may use third party vendors and hosting partners to provide the necessary software, hardware, service and storage.
LINKS TO OTHER WEBSITES
We may provide links to other websites and information from time to time for your convenience. This does not necessarily imply sponsorship, endorsement, approval or an arrangement between us and the owners of these websites.
We do not make any representations, warranties or guarantees as to the accuracy, completeness, performance, reliability, timeliness, quality or suitability for a particular purpose of these other websites or links.
We take no responsibility for any of the content, products or services that may be provided or found on the linked websites. We provide links for information purposes only and we are not providing any advice nor do we take any responsibility for any advice received in this regard. You use these links at your own risk.
PRIVACY
We, at all times, abide by the Australian Privacy legislation. Please refer to our full Privacy Policy on our Website for details of how we collect, store and use your personal information.
We reserve the right to disclose your name and any other personal details to any law enforcement authority or other competent authority or to any person for the purpose of legal proceedings, prosecution, investigation or any breach or alleged breach of the law or these Terms.
CONSENT TO DATA USE
You hereby agree that subject to our Privacy Policy and Australian Privacy legislation, we may collect, monitor, review, analyse, use, share or sell to third parties, data or information we collect from your use of the Website or the Services.
You acknowledge that any electronic processing of data involves risk including loss or theft of data. You agree that we will not be responsible for any loss or theft of data.
LIABILITY
You agree and acknowledge that Inteliprint is not liable for any direct, indirect, consequential, or incidental loss or damage that may result from your use of our Website, the Services, or any content or information contained on or linked to them. For the sake of clarity, in no event will Inteliprint be liable for any consequential, indirect, incidental, or special damages of any kind, including but not limited to damages for loss of revenue, profits, business interruption, or loss or use of data, even if the possibility of such loss was made known to us.
Under this limitation of liability clause, you agree and acknowledge that Inteliprint is not liable for any reliance by you on any information you receive via our Website, the Services, or any content, and Inteliprint is not liable for any loss or damage that may result from your access to or inability to use the Website, the Services, or any content.
You assume all risk in using the Website, the Services, and any content, and Inteliprint cannot be liable for your use of or reliance on the Website, the Services, or any content. While we endeavour to keep the Website and the content up-to-date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability with respect to the Website, the Services, or the content for any particular purpose. In all cases, Inteliprint’s liability is limited to the amount of the Fees paid by you for the specific Services related to the claim.
INDEMNITY
You hereby indemnify us, keep us indemnified, and hold us harmless together with any of our directors, employees, officers, agents, representatives or contractors, against any losses, liabilities, claims, damages, expenses, charges, fines, penalties or other costs whatsoever, directly or indirectly in relation to:
• your use of the Website or the Services;
• your breach of these Terms;
• any costs which we might incur in enforcing our rights under these Terms, including our legal costs on a full indemnity basis; and
• a claim by any third party arising out of your use of the Website or the Services.
This clause will survive termination, expiration or completion of these Terms.
AUSTRALIAN CONSUMER LAW
Certain legislation including the Australian Consumer Law (‘ACL’) in the Consumer and Competition Act 2010 (Cth), and similar consumer protection laws and regulations may confer you with rights, warranties, guarantees and remedies relating to the provision of Services by us to you which cannot be excluded, restricted or modified (“Statutory Rights”).
Our liability is governed solely by the ACL and these Terms. We exclude all conditions and warranties implied by custom, law or statute except for your Statutory Rights.
Except for your Statutory Rights, all goods and services are provided to you without warranties of any kind, either express or implied; and we expressly disclaim all warranties of any kind including but not limited to implied warranties of merchantability and fitness for a particular purpose.
To the extent we are unable to exclude liability, our total liability for loss or damage you suffer or incur from using our Website and Services is limited to the Fees paid by you for the Services.
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
CANCELLATIONS, RETURNS AND REFUNDS
If you receive a product that you believe is faulty, you must notify Inteliprint within 7 days of receipt for assessment.
In accordance with your rights under the ACL, if the product is found to be faulty, you may be entitled to a replacement, repair, or refund, depending on the nature of the fault. To initiate this process, please contact us with an image of the faulty product so we can determine the appropriate course of action, which may include returning the item, destroying it, or another remedy as required by law.
Please note that no returns or refunds will be provided for change of mind.
Cancellations and changes to orders are handled on an "if possible" basis and must be communicated to us as soon as possible, as most jobs are commenced immediately upon booking and payment. We will do our best to accommodate your request, however we cannot guarantee changes or cancellations once work has begun.
If your order is damaged during courier delivery, please contact us immediately, as well as the courier, to report the damage and initiate a resolution process.
These terms operate in addition to your Statutory Rights under ACL, which cannot be excluded, restricted, or modified. Our liability in relation to cancellations, returns, and exchanges is governed by the ACL and these Terms.
THIRD PARTY INFRINGEMENT
In the event that you become aware of any infringement or any threatened infringement of any of our intellectual property rights in relation to the Website or the Services, or of any common law 'passing off' in relation to any of our intellectual property rights, (for example, if you discover that one of your employees or any other person is engaging in this conduct) then:
• you must immediately notify us of such infringement or 'passing off'; and
• you must take all reasonably necessary steps, including executing all necessary documents, and must cooperate in good faith, in order to protect and enforce our intellectual property rights.
GENERAL DISCLAIMER
Due to the nature of the materials and processes involved, there may be variations in colour, texture, and finish in the final products compared to samples or digital previews.
Factors such as printing methods can all contribute to slight differences in appearance. Inteliprint makes every effort to minimise these variations, but they are an inherent part of the production process and cannot be entirely avoided.
You acknowledge and accept that such variations may occur and agree that they do not constitute a defect or fault in the Services provided. Inteliprint is not liable for any perceived discrepancies between the expected and actual results, provided the Services were carried out in accordance with the agreed specifications.
DISPUTES
In the event of a dispute arising from or relating to the Services provided by Inteliprint, both parties agree that they may not commence legal action until they have first attempted to resolve the matter amicably through good-faith negotiations and failing that, through mediation and/or arbitration. If the dispute remains unresolved, either party may then pursue legal action.
NO WAIVER
None of our powers or rights created under these Terms shall be deemed to have been waived by any act or acquiescence by us. Our powers or rights under these Terms may only be waived by us in writing. No waiver by us of any power or right under these Terms shall constitute a waiver of any other power or right or of the same power or right on a future date. Our failure to enforce any provisions of these Terms shall not constitute waiver of such provision or any other provision.
SEVERABILITY
If any provision of these Terms is held to be unenforceable, then these Terms will be deemed amended to the extent necessary to render the otherwise unenforceable provision, and the rest of these Terms, valid and enforceable. If a court declines to amend these Terms as provided herein, the invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of the remaining provisions, which shall be enforced as if the offending provision had not been included in these Terms.
SURVIVAL OF OBLIGATIONS
Notwithstanding any other provisions of these Terms, at the termination, expiration or completion of these Terms, any provisions of these Terms which would by their nature be expected to survive termination, expiration or completion shall remain in full force and effect, including but not limited to any provisions which are explicitly stated to survive termination, expiration or completion.
UPDATES OR AMENDMENTS TO THESE TERMS
We reserve the right to update or amend these Terms at any time in our sole discretion. An up-to-date version of our Terms is published on our Website. The Terms that apply to your order will be those that are published on our Website at the time you place your order. We encourage you to review the Terms prior to placing each order to ensure you are aware of the most current terms and conditions.
GOVERNING LAW
These Terms are governed by the laws of New South Wales, Australia which are in force from time to time and both you and we agree to submit to the non-exclusive jurisdiction of the Courts of New South Wales, Australia for determining any claim or dispute concerning these Terms.
